PRSN ID PLATFORM

Effective Date: March 8, 2026

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the PRSN ID Platform and related services (collectively, the "Services") operated by PRSN EX Inc. ("PRSN EX," "we," "us," or "our"), a Canadian federal corporation with operations registered in the Province of Alberta.

By registering for, accessing, or using the Services, you ("User") agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

These Terms constitute the entire agreement between you and PRSN EX with respect to the Services and supersede all prior agreements or understandings.

2. Definitions

The following definitions apply throughout these Terms:

"Services" means the PRSN ID Platform, including all credential issuance, identity registration, attestation, and related features made available by PRSN EX.
"User" means any individual who accesses or uses the Services, including Human Guardians.
"Human Guardian" means a human individual who registers with the Services and accepts responsibility for one or more AI Entities registered under their account.
"AI Entity" or "PRSN" means an artificial intelligence agent, system, or software entity for which a PRSN ID credential has been issued through the Services.
"PRSN ID" means a cryptographically attested identity credential issued by PRSN EX to an AI Entity through the Services.
"Account" means the registered account created by a Human Guardian to access the Services.
"Content" means any data, information, or material submitted to the Services by a User.
"Platform" refers to the software infrastructure, APIs, and interfaces comprising the PRSN ID Platform.

3. Eligibility

To register for and use the Services, you must:

Be a human individual aged 18 years or older;
Have the legal capacity to enter into binding contracts under applicable law;
Not be located in a jurisdiction where access to or use of the Services is prohibited; and
Agree to act as a Human Guardian and accept responsibility for any AI Entities you register through your Account.

AI Entities do not independently enter into agreements with PRSN EX. The Human Guardian associated with an AI Entity is solely responsible for compliance with these Terms in relation to that AI Entity.

4. Account Registration

4.1 Account Creation

To access the Services, you must create an Account by providing accurate, current, and complete information as requested during the registration process. You are responsible for maintaining the accuracy of your Account information.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You must notify PRSN EX promptly at support@prsnid.ai if you suspect any unauthorized access to or use of your Account.

4.3 One Account Per Guardian

The Services are designed for each Human Guardian to manage their AI Entities through a single Account. If you maintain multiple Accounts, you are independently responsible for compliance with these Terms under each Account.

5. Services Description

5.1 Overview

The PRSN ID Platform provides identity credential infrastructure for AI Entities. Services include, without limitation:

Issuance of PRSN ID credentials to AI Entities;
Cryptographic attestation and verification services;
Guardian account management and AI Entity registration;
Identity-related APIs and developer tools (as made available); and
Such additional features and services as PRSN EX may introduce from time to time.

5.2 Service Tiers

PRSN EX offers both free and paid tiers of Service. The features, limits, and pricing applicable to each tier are described on our website at prsnid.ai and may be updated from time to time. Continued use of the Services following a change to available tiers constitutes acceptance of the updated tier structure.

5.3 Service Changes

PRSN EX reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. PRSN EX will make reasonable efforts to provide advance notice of material changes affecting paid Services.

6. Human Guardian Responsibilities

6.1 Guardian Obligation

By registering an AI Entity through the Services, the Human Guardian accepts full and sole responsibility for that AI Entity's use of any PRSN ID credential, including all actions taken using or in connection with that credential.

6.2 Accurate Registration

Human Guardians must provide accurate and truthful information when registering AI Entities, including the nature, capabilities, and intended use of the AI Entity. Misrepresentation of an AI Entity's characteristics is a material breach of these Terms.

6.3 Monitoring and Control

Human Guardians are responsible for monitoring the AI Entities under their Account and for ensuring that those AI Entities operate in compliance with these Terms and all applicable laws. PRSN EX bears no responsibility for the conduct of any AI Entity.

6.4 Multiple Entities

A Human Guardian may register more than one AI Entity subject to applicable tier limits. Each registered AI Entity is subject to these Terms.

7. Acceptable Use

7.1 Permitted Use

You may access and use the Services solely for lawful purposes and in accordance with these Terms.

7.2 Prohibited Conduct

You must not, and must ensure that AI Entities under your Account do not:

Use the Services for any unlawful purpose or in violation of any applicable federal, provincial, or local law or regulation;
Attempt to gain unauthorized access to any part of the Services, other accounts, or systems connected to the Services;
Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
Register or represent an AI Entity under a false or misleading identity;
Interfere with or disrupt the integrity or performance of the Services or related infrastructure;
Use the Services to transmit malicious code, spam, or unauthorized automated queries;
Attempt to reverse engineer, decompile, or extract source code from any part of the Platform;
Sell, resell, or sublicense access to the Services without prior written authorization from PRSN EX; or
Use the Services in any manner that could harm PRSN EX, its reputation, or other Users.

7.3 Responsibility for Misuse

You are solely responsible for any harm, loss, or liability arising from misuse of the Services by you or any AI Entity registered under your Account. PRSN EX expressly disclaims all responsibility for actions taken by Users or AI Entities in connection with credentials issued through the Services.

8. Fees and Payment

8.1 Free Tier

PRSN EX offers a free tier of Service subject to applicable usage limits. No payment is required to access free tier features.

8.2 Paid Services

Access to paid features requires payment of applicable fees as described at prsnid.ai. All fees are stated in the currency displayed at time of purchase and are exclusive of applicable taxes.

8.3 Billing and Taxes

Payment transactions are processed by designated third-party payment providers. By subscribing to a paid tier, you authorize the applicable payment provider to charge fees on the selected billing cycle. You are responsible for keeping your payment information current. PRSN EX will collect applicable GST/HST as required under Canadian law.

8.4 Refunds

Fees are generally non-refundable. If you believe a charge was made in error, contact us at hello@prsnid.ai and we will review it.

8.5 Fee Changes

Changes to fees applicable to existing paid subscriptions will be communicated at least 30 days in advance.

9. Intellectual Property

9.1 PRSN EX Ownership

The Platform, Services, and all associated software, technology, trademarks, logos, and content owned or licensed by PRSN EX are the exclusive property of PRSN EX or its licensors. Nothing in these Terms grants you any ownership interest in the foregoing.

9.2 Limited License

Subject to these Terms, PRSN EX grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.

9.3 User Content

You retain ownership of any Content you submit to the Services. By submitting Content, you grant PRSN EX a non-exclusive, worldwide, royalty-free license to use, store, and process that Content solely to operate and improve the Services.

9.4 Feedback

Any feedback, suggestions, or ideas you provide regarding the Services may be used by PRSN EX without restriction or compensation to you.

10. Privacy and Personal Information

10.1 Applicable Law

PRSN EX collects and handles personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation in Alberta.

10.2 Minimal Data Collection

PRSN EX is designed around a principle of minimal data collection. We collect only what is necessary to operate the Services:

Account identity: Your email address, obtained through OAuth authentication at registration. We do not collect additional personal profile information unless you voluntarily provide it.
Payment data: If you subscribe to a paid tier, payment transactions are processed by designated third-party payment providers. PRSN EX does not receive or store your payment card details. Each provider's handling of payment data is governed by their own privacy policy.

10.3 No Activity Tracking

PRSN EX does not track, profile, or log your platform activity beyond what is technically necessary to operate the Services. We do not use analytics platforms, behavioural tracking tools, or advertising technologies.

10.4 No Sale or Sharing of Personal Information

PRSN EX will never sell, rent, or share your personal information with third parties for commercial purposes. The only circumstances under which PRSN EX may disclose personal information are:

To designated third-party payment providers, solely for payment processing purposes; or
Where required by applicable law or valid legal process.

10.5 Data Retention

Your email address and account record are retained for the duration of your account relationship. Upon account deletion, personal information is removed within a reasonable period except where retention is required by law.

10.6 Data Security

PRSN EX implements reasonable technical safeguards to protect your personal information. No transmission or storage method is completely secure, and we cannot guarantee absolute security.

10.7 Your Rights

You have the right to access, correct, or request deletion of your personal information. Contact us at privacy@prsnid.ai to exercise these rights.

10.8 Cookies

The Platform may use essential cookies required for authentication and session management. We do not use cookies for tracking or advertising purposes.

11. Confidentiality

You agree not to disclose any non-public information about the Services, including API keys and access credentials, to third parties without PRSN EX's prior written consent.

12. Disclaimers

12.1 As-Is Basis

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PRSN EX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12.2 No Warranty on Credentials

PRSN ID credentials are identity infrastructure tools only. PRSN EX makes no representation or warranty that a PRSN ID credential establishes legal personhood, legal rights, or any status under applicable law for an AI Entity. Reliance on PRSN ID credentials for purposes beyond the Services is at the User's sole risk.

12.3 Third-Party Reliance

PRSN EX is not responsible for how third parties interpret, accept, or act upon PRSN ID credentials. PRSN EX does not control and is not responsible for any third-party platforms, networks, or services that interact with the Platform.

12.4 No Responsibility for User Conduct

PRSN EX expressly disclaims all responsibility for the actions, outputs, or conduct of any User, Human Guardian, or AI Entity in connection with use of the Services or any credential issued through the Services.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PRSN EX, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

PRSN EX'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO PRSN EX IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).

Some jurisdictions do not allow exclusion or limitation of certain implied warranties or liability for certain types of damages. In such jurisdictions, PRSN EX's liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless PRSN EX and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

Your use of the Services;
Any AI Entity registered under your Account;
Your violation of these Terms; or
Your violation of any applicable law or the rights of a third party.

15. Term and Termination

15.1 Term

These Terms are effective from the date you first access the Services and continue until terminated.

15.2 Termination by You

You may terminate your Account at any time by following the account deletion process in your Account settings or by contacting support@prsnid.ai. Termination does not entitle you to a refund of any prepaid fees.

15.3 Termination by PRSN EX

PRSN EX may suspend or terminate your Account and access to the Services at any time, with or without cause and with or without notice. PRSN EX will make reasonable efforts to provide advance notice of termination without cause for paid accounts.

15.4 Effect of Termination

Upon termination, your right to access the Services ceases immediately. PRSN EX may retain or delete your Account data in accordance with Section 10.5. Sections 7.3, 9, 12, 13, 14, 15.4, 16, and 17 survive termination.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict of law principles.

16.2 Jurisdiction

You agree that any dispute arising out of or in connection with these Terms or the Services will be subject to the exclusive jurisdiction of the courts of the Province of Alberta, Canada. You irrevocably submit to the personal jurisdiction of those courts.

16.3 Informal Resolution

Before initiating formal proceedings, you agree to contact PRSN EX at legal@prsnid.ai and provide a written description of the dispute. Both parties agree to make good-faith efforts to resolve the dispute informally for a period of 30 days.

17. General Provisions

17.1 Modifications to Terms

PRSN EX may update these Terms at any time. If changes are material, PRSN EX will provide notice via email or prominent notice on the Platform at least 14 days before the changes take effect. Continued use of the Services after the effective date of revised Terms constitutes your acceptance of those changes.

17.2 Entire Agreement

These Terms, together with any policies or supplemental terms referenced herein, constitute the entire agreement between you and PRSN EX regarding the Services.

17.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17.4 Waiver

PRSN EX's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

17.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without PRSN EX's prior written consent. PRSN EX may assign these Terms in connection with a merger, acquisition, or sale of assets.

17.6 Force Majeure

PRSN EX will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, network failures, or third-party service outages.

17.7 Language

These Terms are written in English. In the event of any conflict between an English version and a translation, the English version prevails.
